1. Who we are
Midland is provided by E2E Design AB, organisation number 559416-2843, Rehnsgatan 19, 113 57 Stockholm, Sweden. VAT number SE559416284301. Contact: support@midland.md.
"Midland", "we" and "us" mean E2E Design AB. "You" and "the customer" mean the company or other organisation on whose behalf a workspace is created or, where there is none, the person who creates it.
2. What these terms cover
These terms govern your use of the hosted Midland service at console.midland.md, including its web console and its MCP server (the "service"). Midland is a shared context layer: your team stores items (files, collections, skills, terms and metrics) in a workspace, and your people and their agents read and update them.
The Data Processing Agreement forms part of these terms. The Privacy Policy explains how we handle personal data as a controller; it is a notice, not a contract term.
These terms do not cover a copy of Midland that you host yourself.
3. Accepting these terms
You accept these terms when you create a workspace, accept an invitation to one, or otherwise use the service. If you accept on behalf of an organisation, you confirm that you have the authority to bind it.
4. Who may use the service
- You must be at least 18 years old.
- The service is for business and professional use. You confirm that you are using it in the course of a trade, business or profession and not as a consumer.
5. Your workspace, people, agents and couriers
- People. Every person in a workspace has the same standing: any person can invite others and remove others. You are responsible for whom you invite and for what they do in the workspace.
- Agents. A person may approve an agent (an AI tool such as a chat assistant or coding assistant) to act for them. An approved agent can do what that person can do in the workspace, including reading, adding, changing and deleting content. You are responsible for the agents your people approve and for what those agents do.
- Couriers. A courier is an automated writer with its own connection key. A connection key does not expire and is shown once. You are responsible for keeping it secret and for removing a courier whose key may have leaked.
- Sign-in. Sign-in is by a link sent to an email address. You are responsible for the security of the mailboxes your people sign in with.
- Tell us without delay at support@midland.md if you believe a workspace, key or account has been used without permission.
6. Your content
- You own it. "Content" means everything your people, agents and couriers put into a workspace. Nothing in these terms transfers ownership of content to us.
- What we may do with it. You give us permission to host, store, copy, transmit and display content only as needed to provide the service to you, to keep it secure, and to comply with the law.
- What we do not do with it. We do not use content to train models, we do not sell it, and we do not use it for any purpose other than providing the service.
- Version history. Midland keeps every version of a file until the file is deleted. Editing something out of a file does not remove it from that file's history. To remove it, delete the file.
- Your copies. Keep your own copy of anything you cannot afford to lose.
7. Agents and model providers
- Midland does not provide, run or call an AI model. It stores your content and serves it to the agents you connect.
- The agents you connect, and the companies that provide them, are your own tools and suppliers. They are not our subcontractors. When an agent reads content from Midland, that content leaves Midland at your direction and is handled under your agreement with that provider.
- Anything an agent writes, changes or deletes in a workspace is treated as the act of the person who approved it.
- Skills are instructions that your agents follow. They are your content. Your agents follow them at your risk, and you are responsible for who may write them.
- Midland marks some content as data so that agents do not treat it as instructions. This is a safeguard, not a guarantee. We do not promise that an agent will respect the marking, that content is accurate, or that content is free of text designed to mislead an agent.
- You are responsible for reviewing what your agents produce and do.
8. Acceptable use
You must not, and must not let others:
- store or send content that is unlawful, or that infringes someone else's rights;
- store any prohibited data: special categories of personal data (health, genetic or biometric data, racial or ethnic origin, political opinions, religious or philosophical beliefs, trade union membership, sex life or sexual orientation), personal data about criminal convictions or offences, patient health records, payment card numbers, government-issued identity numbers, or personal data about children;
- store passwords, API keys or other secrets;
- upload malware, or use the service to attack, probe or overload any system, including ours;
- get around limits, access controls or another workspace's boundaries;
- resell the service or offer it to third parties as your own;
- use the service where a failure could lead to death, injury or serious damage.
9. Reporting and handling unlawful content
Anyone may report content they believe is unlawful by email to support@midland.md, with enough detail for us to find and assess it. We confirm receipt, review reports ourselves (no automated decision), and tell the reporter what we decided.
We do not monitor workspace content. If we learn of content that breaks section 8 or the law, we may remove it or restrict access to it, and in serious or repeated cases suspend the workspace. When we do, we tell the affected workspace what we did, why, and how to object, unless the law prevents us.
support@midland.md is also our single point of contact for users and for authorities under the EU Digital Services Act. You can write to us in English or Swedish.
10. Personal data
- Content. Where content includes personal data, you are the controller and we are your processor. The Data Processing Agreement applies and takes priority over these terms on that subject.
- Your promises. You confirm that you have a lawful basis for the personal data you store, that you have told the people concerned as the law requires, that your instructions to us are lawful, and that you will not store prohibited data.
- Requests from individuals. If someone asks us about personal data in your content, we refer them to you and help you respond as the Data Processing Agreement describes.
- Account data. For the data we need to run accounts and keep the service secure, we are the controller. See the Privacy Policy.
11. The service is in beta
The service is provided free of charge, as it is and as available. Features may change or be removed. We do not promise uptime, that the service will be free of errors, or that it will meet your particular needs. To the extent the law allows, we give no warranties beyond what these terms state.
We may introduce paid plans. We will tell you at least 30 days before any charge applies to you, and no charge applies unless you choose a paid plan.
12. Our software and your feedback
We keep all rights in the service and its software. You may use the service as these terms allow and not otherwise. If you send us feedback, we may use it without owing you anything.
13. Liability
- Neither party is liable to the other for indirect or consequential loss, or for loss of profit, revenue, business or goodwill.
- Our total liability to you for all claims arising in any 12-month period is limited to the greater of (a) the fees you paid us for the service in that period and (b) EUR 100.
- These limits do not apply to loss caused intentionally or by gross negligence, or to any liability that cannot be limited by law.
- Nothing in these terms limits the rights that individuals have under data protection law.
14. Claims caused by your use
If a third party brings a claim against us because of your content, your breach of section 8 or section 10, or what your people, agents or couriers did through the service, you will compensate us for the resulting loss and reasonable costs. We will tell you promptly about any such claim and let you take part in its defence.
15. Suspension and ending
- You may stop using the service at any time. You can delete items and files yourself at any time. To delete a workspace or an account, email support@midland.md from an address belonging to a person in that workspace.
- We may suspend a workspace that breaks these terms or puts the service or others at risk. We give reasons and, unless the matter is urgent or serious, notice and a chance to fix it. We may end the agreement on 30 days' notice by email.
- Inactive workspaces. We may delete a workspace that no person or agent has used for 12 months, after 30 days' notice to the email addresses of its people.
16. Export, switching and deletion
- Export. You can ask for an export of your workspace's content at any time by email. We provide it in a structured, commonly used, machine-readable format (Markdown and JSON) within 30 days, at no charge.
- Switching. You may move to another provider or to your own systems at any time. You need give us no more than two months' notice, and we give reasonable help during the move.
- After the end. For 30 days after the agreement ends you can still ask for an export. After that we delete the workspace and its content. Copies in backups are overwritten within a further 30 days.
- Some records are kept longer where the Privacy Policy says so or the law requires it.
17. Changes to these terms
We may change these terms. For a significant change we email the people in each workspace at least 30 days before it takes effect, and we keep earlier versions available. If you do not agree, you can stop using the service and ask us to delete your workspace. Using the service after the change takes effect means you accept it.
Changes to the Data Processing Agreement and to our sub-processors follow the notice rules in that agreement.
18. Governing law and disputes
These terms are governed by Swedish law, without regard to its conflict-of-law rules. Disputes are settled by the Swedish courts, with Stockholm District Court (Stockholms tingsrätt) as the court of first instance.
19. General
- Notices. We send notices to the email addresses of the people in your workspace. Send notices to us at support@midland.md.
- Whole agreement. These terms and the Data Processing Agreement are the whole agreement between us about the service. If they conflict on personal data, the Data Processing Agreement wins.
- If part fails. If a court finds part of these terms unenforceable, the rest still applies.
- Transfer. We may transfer this agreement to a company that takes over the service, and will tell you if we do. You may not transfer it without our consent.
- No waiver. If we do not enforce a term, that does not mean we give it up.
- Language. These terms are written in English.
